5. aurenz GmbH Alle Rechte vorbehalten 13 14 15 16 17 18 4 2 all NZ SOFTWARE amp CONSULTING vertreten sind unsachgem e und ohne vorherige Genehmigung durch Aurenz erfolgte nderungen oder Instandsetzungsarbeiten seitens des Lizenznehmers oder Dritter Der Lizenznehmer hat vor der Installation eines von Aurenz erworbenen Softwareproduktes eine aktuelle Datensicherung vorzunehmen Weiterhin hat der Lizenznehmer f r eine fortlaufende gefahrentsprechende Datensicherung nach der Installation Sorge zu tragen Die Datensicherung ist auch vor dem Aufspielen von Updates und Upgrades und vor Durchf hrung von Wartungsarbeiten durchzuf hren Aurenz haftet nicht f r Sch den die durch Fehlen einer brauchbaren Datensicherung entstehen k nnen Die Haftung von Aurenz bei Datenverlust wird auf den Ersatz des typischen Wiederherstellungsaufwandes beschr nkt der auch bei regelm iger gefahrentsprechender Datensicherung eingetreten w re Die Haftung von Aurenz wegen schuldhafter Verletzung des Lebens des K rpers oder der Gesundheit bleibt unber hrt Dies gilt auch f r die zwingende Haftung nach dem Produkthaftungsgesetz Anspr che aus Herstellerregress bleiben unber hrt Soweit nicht vorstehend etwas Abweichendes geregelt ist ist die Haftung von Aurenz ausgeschlossen Die M ngelanspr che verj hren in einem Jahr ab Ablieferung der Ware Leistungen von Aurenz im Rahmen der Gew hrleistung z B d

9. entsprechenden schriftlichen Aufforderung behebt 5 3 Der Kunde muss den Vertrieb der Integrierten Produkte unverz glich nach Beendigung oder K ndigung dieses Vertrags einstellen Sollte der Kunde Lizenzgeb hren im Voraus an MySQL gezahlt haben die f r eine bestimmte Anzahl von Implementierten Kopien genutzt werden k nnen oder sollte die K ndigung dieses Vertrags durch MySQL nicht aus wichtigem Grund erfolgen dann kann der Kunde ungeachtet des Vorstehenden w hrend eines Zeitraums von neunzig 90 Tagen gerechnet unmittelbar ab Beendigung oder K ndigung dieses Vertrags weiterhin die bereits bezahlten Integrierten Produkte die er noch nicht vertrieben hat gem den Bedingungen und Bestimmungen dieses Vertrags weiter nutzen 5 4 Die Beendigung oder die K ndigung dieses Vertrags gleich aus welchem Grund ber hrt nicht die Rechte bestehender Endbenutzer in deren Namen der Kunde die anwendbaren Lizenzgeb hren an MySQL gezahlt hat und die einer EULA unterliegen Die Abschnitte 1 4 5 6 8 9 10 und 11 dieses Vertrags bleiben nach Beendigung und K ndigung dieses Vertrags gleich aus welchem Rechtsgrund wirksam 6 Schutzrechte Die gewerblichen Schutzrechte und s mtliche sonstigen Eigentumsrechte am Produkt und seiner dazugeh rigen Dokumentation einschlie lich von Bearbeitungen sind und verbleiben ausschlie lich bei MySQL und oder seinen Lieferanten Vorbehaltlich einer ausdr cklichen Regelung in diesem Vertrag ist der Vert

MySQL w hrend der Laufzeit zur Verf gung gestellt werden vorausgesetzt es sind die anwendbaren Lizenzgeb hren f r die Wartungs und oder Hauptversion auf dem Bestellformular angegeben Das Produkt umfasst auch die zum entsprechenden Zeitpunkt aktuelle Version der unterst tzenden Software MySQL Connector J MySQL Connector ODBC MySQL Connector MXJ und MySQL Connector Net Server bedeutet einen einzigen Rechner der Daten mittels einer oder mehrerer CPUs verarbeitet Wenn ein solcher Rechner Server Blades enth lt gilt jedes Server Blade als separater Server Server Blade bedeutet ein komplettes EDV System auf einer einzigen Platine Ein Server Blade umfasst eine oder mehrere CPUs Speicher Plattenspeicher Betriebssystem und Netzwerkverbindungen Ein Server Blade ist so ausgelegt dass es bei laufendem Betrieb hot pluggable in einem raumsparenden Rack eingef gt werden kann Jedes Rack kann viele Server Blades enthalten Support bedeutet die Stufe des j hrlichen technischen MySQLSupports die auf dem Bestellformular aufgef hrt ist Support wird in n heren Einzelheiten in Abschnitt 7 dieses Vertrags beschrieben Support Geb hr bedeutet die nicht erstattungsf hige Jahresgeb hr die an MySQL f r Support im Voraus zu zahlen ist Die Support Geb hr f r das erste Jahr ist auf dem Bestellformular angegeben Die Support Geb hr f r alle weiteren Jahre kann w hrend der Laufzeit im alleinigen Ermessen von MySQL auf bis zu 105

Nutzung der vorhandenen B roeinrichtung bereitstellen und den Zugang zu allen relevanten Mitarbeitern und Unterlagen des Kunden w hrend der normalen Gesch ftszeiten erm glichen MySQL stellt dem Kunden eine Kopie der Ergebnisse einer solchen Pr fung zur Verf gung Wenn eine fehlende Bezahlung des vertraglich f lligen Betrages festgestellt wird Unterzahlung bezahlt der Kunde sofort den v llst ndigen Betrag jeglicher Unterzahlung Der Kunde bezahlt MySQL auch die Kosten einer Pr fung einschlie lich ohne Einschr nkung der Reisekosten und Kosten von Anw lten und Beratern wenn die Pr fung ergibt dass der Kunde die Geb hren f r den Pr fzeitraum nicht komplett bezahlt hat wobei die Unterzahlung ber f nf Prozent 5 des korrekten MySQL geschuldeten Betrags betragen muss 4 6 Viertelj hrliche Berichte und Zahlungen Die Bestellungen des Kunden im Bestellformular sind bindend und nicht erstattungsf hig Neben den verpflichtenden Bestellungen hat der Kunde auf viertelj hrlicher Basis Kalenderquartal Lizenzgeb hren f r jegliche Implementierte Lizenzierte Software an MySQL zu entrichten wenn und soweit die Anzahl der Implementierten Lizenzierten Software die Anzahl der bereits get tigten Verpflichtenden Bestellungen f r Lizenzierte Software bersteigt Der Kunde hat sp testens 30 Tage nach dem Ende eines jeden Kalenderquartals w hrend der Laufzeit dieses Vertrags MySQL Folgendes bereitzustellen a einen schriftlichen

Seite die MySQL dem Kunden von Zeit zu Zeit zum Herunterladen von Produkten mitteilt z B durch Umleitung auf eine Webseite E Mail oder wie in Abschnitt 11 5 unten dargelegt Endbenutzer bedeutet ein Endbenutzer eines Integrierten Produkts EULA bedeutet einen schriftlichen Endbenutzer Lizenzvertrag zwischen dem Kunden und Endbenutzern oder einem Vertriebsh ndler und Endbenutzern der die Rechte eines jeden Endbenutzers zur Verwendung eines Integrierten Produkts regelt Jede EULA muss a von jedem Endbenutzer akzeptiert werden und b mit den Bedingungen und Bestimmungen dieses Vertrags vereinbar sein und muss Bedingungen enthalten die im Wesentlichen den in Anhang A dieses Vertrags dargelegten Bedingungen entsprechen GPL Lizenz bedeutet Version 2 der GNU General Public License allgemeine ffentliche Lizenz die von der Free Software Foundation herausgegeben wird Hauptversion bedeutet eine neue allgemein erh ltliche Version des Produkts w hrend der Laufzeit die typischerweise wesentliche neue Funktionen und oder Verbesserungen enth lt Von MySQL zugewiesene Versionsnummern f r Hauptversionen werden durch nderungen links vom u erst linken Dezimalpunkt ausgewiesen Implementiert bedeutet dass eine Kopie des Produkts als Teil eines Integrierten Produkts verkauft versandt vertrieben oder anderweitig auf einem Server bzw auf einer CPU wenn es sich um MySQL Cluster handelt bereit gestellt wird Integriertes
