23. 9 1 3 if the Customer its employees or agents refuse to comply with any reasonable requirements of SAI Global or 9 1 4 if the Customer becomes the subject of Insolvency Proceedings If this Agreement is terminated by SAI Global under clause 9 1 the Customer shall delete and remove from its computer system all files created by or which include the Product Termination pursuant to this clause 9 shall not affect any rights or remedies which SAI Global may have otherwise under this Agreement or law and the Customer acknowledges that the indemnities given by it in clause 8 shall survive the termination of this Agreement Any termination of this Agreement shall be without prejudice to the rights which a party has against the other in respect of anything done or omitted to be done under or in connection with this Agreement prior to such termination or in respect of any sums or other claims outstanding at the time of termination Dispute Resolution 10 1 10 2 10 3 10 4 If at any time there is any dispute between the parties concerning or arising out of this Agreement then any party may notify the other party of the dispute Dispute Notice Within 7 days of service of the Dispute Notice the parties must meet together with one another in good faith and use their best endeavours to resolve such dispute to their mutual satisfaction If the parties are unable to resolve the dispute under clause 10 1 then the parties by mutu
